A loan note is a debt instrument issued by a company to raise capital from investors. The company borrows money from investors and agrees to repay the principal amount on a set maturity date, along with interest payments (known as coupons) at an agreed rate. Loan notes can be secured against company assets or unsecured.
A bond is a fixed-income debt security issued by a company (corporate bond) or for a specific project (project bond) to raise capital. The issuer promises to pay the bondholder a fixed or variable rate of interest (the coupon) over a defined period, and to return the face value of the bond at maturity.
A convertible loan note (CLN) is a hybrid instrument that starts as a loan but gives the investor the right to convert the outstanding debt into equity (shares) in the company at a future date, typically at the next funding round. CLNs usually include a conversion discount or valuation cap that rewards early investors.
